What Is a Proforma Invoice Format?

A proforma invoice is the document that turns a negotiation into an order. Once your buyer broadly agrees to your quotation, they will ask for a proforma invoice — a preliminary invoice that confirms the products, quantities, prices, Incoterm, ports, country of origin and payment terms before the goods are shipped. Buyers use a proforma invoice format to release advance payment, open a letter of credit, or apply for import permits in their country. It is not a demand for payment of delivered goods (that is the commercial invoice) — it is the agreed blueprint of the deal.

This free Proforma Invoice Builder gives you a complete export-ready format: product photos, HSN codes, packing dimensions with auto-calculated CBM and gross weight, certifications, your bank details for advance payment, buyer’s order reference, country of origin, a standard declaration line, and your company seal and signature. Everything runs in your browser — nothing is uploaded to any server.

How to Use This Tool

  1. Fill in your company details and upload your logo.
  2. Add your buyer’s details and their order/reference number, with a country dropdown to avoid spelling mistakes.
  3. Add products with photos, quantities and prices. Turn on the packing toggle if the buyer or their bank needs carton sizes, CBM and gross weight.
  4. Set the Incoterm, ports, country of origin, final destination and payment terms.
  5. Add your bank details — essential, since buyers pay advances against a proforma invoice.
  6. Upload your seal & signature and click Download / Print PDF.

Still negotiating? Start with our free Export Quotation Builder and convert it to a proforma once the buyer agrees. Plan your container space with the CBM Calculator, and find every free tool on the tools page.

Frequently Asked Questions

What is a proforma invoice used for?+

A proforma invoice confirms the agreed terms of an export order before shipment. Buyers use it to release advance payment, open a letter of credit with their bank, or obtain import licences and foreign exchange approval in their country. It is the bridge between your quotation and the final commercial invoice.

What is the difference between a proforma invoice and a commercial invoice?+

A proforma invoice is issued before shipment to confirm the order — it is not a payment demand and is not used for customs clearance. A commercial invoice is issued at shipment time, is legally binding, and is the primary document for customs clearance and final payment. The details on both should match.

What should a proforma invoice include?+

Exporter and buyer details, a proforma invoice number and date, the buyer’s order or reference number, product descriptions with quantities and unit prices, currency, Incoterm with named port, ports of loading and discharge, country of origin, final destination, payment terms, bank details, validity period, a declaration, and an authorised signature with company seal.

Is a proforma invoice legally binding?+

By itself, a proforma invoice is generally not a legally binding demand for payment — it is a good-faith confirmation of agreed terms. However, once a buyer pays an advance or a bank opens a letter of credit against it, its details become commercially binding in practice, so the figures and terms must be accurate.

Is this proforma invoice generator free? Is my data safe?+

Yes — completely free, no sign-up, no watermark. The tool runs entirely in your browser: your company details, prices, photos, bank details, seal and signature are never uploaded to any server. When you close the page, the data is gone.
